Terms & Conditions
This is the master agreement between you and SKYL. It governs every workspace, subscription and account on the SKYL platform. Please read it carefully.

1. Definitions
- SKYL — the software-as-a-service platform operated under CR-7054427153, Kingdom of Saudi Arabia.
- Customer — the individual or legal entity subscribing to a SKYL workspace.
- Workspace — a shared operational environment inside SKYL owned by the Customer.
- Workspace Owner — the account that created the workspace or was designated as owner.
- User — any individual authorised by the Workspace Owner to access the workspace, including team members, manufacturers, agencies, designers and creators.
- Partner — a third party (manufacturer, agency, designer, creator) invited into the workspace by the Workspace Owner.
- Content — any data, files, messages, tasks, documents or materials submitted into the workspace.
- Subscription — the paid plan the Customer has selected.
- Fees — the amounts owed under the Subscription.
2. Acceptance
By creating an account, subscribing to SKYL, or using any part of the platform, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
3. Eligibility
You must be at least 18 years old and legally capable of entering into contracts. SKYL is intended for professional use by brands, manufacturers, agencies, designers and creators. You may not use SKYL if you are barred from doing so under any applicable law.
4. Accounts
You are responsible for all activity under your account, for maintaining the security of your credentials, and for keeping account information accurate and current. Sharing a single user account across multiple people is not permitted. Each individual must have their own account.
5. Workspaces and ownership
Every workspace has a Workspace Owner. The Workspace Owner is responsible for the workspace, its billing, its Users, and the Content contained in it. Ownership of a workspace may only be transferred through SKYL support, with confirmation from both parties.
6. Team invitations
Workspace Owners may invite team members, manufacturers, agencies, designers and creators. The Workspace Owner controls each User's access level and may revoke access at any time. The Workspace Owner is responsible for ensuring that each invited User is authorised to receive the Content shared with them.
7. Account types
SKYL supports different operational roles: Brand accounts, Manufacturer accounts, Agency accounts and creator or designer accounts. Feature availability and pricing may differ per role. The role assigned to your account is displayed inside the platform and may be updated by SKYL where technically required.
8. Subscription plans
Subscription features, seat counts and prices are described on the pricing page or in a separate order form. SKYL may introduce new plans, adjust features and revise pricing for future billing cycles. Any change to fees on an existing subscription will be communicated in advance.
9. Billing and auto-renewal
Subscriptions are billed in advance on a monthly or annual cycle depending on the plan selected. Subscriptions automatically renew at the end of each cycle for another cycle of the same length, at the then-current price, unless cancelled before the renewal date. You authorise SKYL and its payment processors to charge your payment method for each renewal.
10. Failed payments
If a payment fails, SKYL will attempt to retry the charge and notify the billing contact. If the failure is not resolved within the grace period stated in the platform (typically 7 days), SKYL may suspend or downgrade the workspace. Access to Content is restored after payment is successfully collected.
11. Refunds
Refunds are handled under the separate Refund Policy. In general, once a workspace has been provisioned and access delivered, subscription fees for the current billing period are non-refundable, except where required by applicable law.
12. Cancellation
A Customer may cancel a subscription at any time from inside the platform or by contacting support. Cancellation stops future renewals. Access continues until the end of the current billing period, after which the workspace is closed and data enters the retention window described in the Privacy Policy.
13. Intellectual property — SKYL
SKYL, the SKYL name, logos, product design, source code, documentation and all related intellectual property are owned exclusively by SKYL. Nothing in these Terms transfers any ownership right to the Customer. Customer receives a limited, non-exclusive, non-transferable, revocable licence to use SKYL during the subscription.
14. Intellectual property — user content
The Customer retains all ownership rights in the Content it uploads. The Customer grants SKYL a worldwide, royalty-free licence to host, process, transmit and display the Content solely to operate the service, provide support, secure the platform and comply with legal obligations. SKYL does not sell Customer Content and does not use it to train third-party foundation models.
15. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses for its own (and no less than reasonable care), and will use it only to perform the agreement. Content shared into a workspace is treated as confidential to the Workspace Owner and the invited Users with access.
16. Acceptable use
Use of SKYL is subject to the Acceptable Use Policy. You may not use SKYL to distribute spam, malware, illegal products, counterfeit goods, material that infringes third-party intellectual property, or content that violates any applicable law.
17. Anti-spam
You may not use SKYL to send unsolicited bulk communications. Invitations must be addressed to real business contacts you have a legitimate reason to invite. Repeated abuse of invitations, messages or notifications is grounds for suspension.
18. Fashion-industry compliance
Fashion brands and manufacturers using SKYL must comply with the laws that apply to their industry — including consumer protection, product safety, labelling, textile composition, import/export controls and country-of-origin rules. SKYL is a workspace tool and does not certify, inspect or guarantee compliance of any physical product coordinated through the platform.
19. Limitation of liability
To the maximum extent permitted by law, SKYL is not liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for lost profits, lost revenue, lost data or business interruption. SKYL's total aggregate liability under these Terms will not exceed the fees paid by the Customer for the service during the twelve (12) months preceding the event giving rise to the claim.
20. Disclaimer
SKYL is provided on an "as is" and "as available" basis. SKYL does not guarantee that the service will be uninterrupted, error-free, or that every feature will meet the Customer's specific requirements. SKYL is a software platform and is not a party to any agreement, transaction, production arrangement, supply relationship or commercial outcome established between Users through the workspace.
21. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, governmental action, infrastructure or network outages of third parties.
22. Suspension
SKYL may suspend a workspace, account or User where required for security, to prevent harm to other Users, in response to non-payment, or in response to a credible allegation of policy or legal violation. Where possible, SKYL will notify the Workspace Owner in advance and provide a route to resolve the issue.
23. Termination
Either party may terminate a subscription for material breach if the breach is not cured within thirty (30) days of written notice. SKYL may terminate immediately in cases of fraud, security incident, or use of the platform for illegal purposes. On termination, the licence to use SKYL ends and Content enters the retention window described in the Privacy Policy.
24. Export compliance
The Customer represents that it is not located in, and will not use SKYL from, any jurisdiction subject to comprehensive sanctions administered by Saudi Arabia, the UN, the EU, the UK or the US, and that it is not on any restricted-party list.
25. Governing law and jurisdiction
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Subject to the arbitration clause below, the courts of Riyadh have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
26. Dispute resolution and arbitration
The parties will first attempt to resolve any dispute in good faith through direct discussion. If unresolved within sixty (60) days, the dispute will be finally settled under the rules of the Saudi Center for Commercial Arbitration (SCCA) by one or more arbitrators appointed under those rules. The seat of arbitration is Riyadh and the language of arbitration is English.
27. Beta features
SKYL may make beta or experimental features available. Beta features are provided "as is", may change or be withdrawn at any time, and may not be subject to the same service commitments as the general service.
28. API usage
Where SKYL makes an API available, use of the API is subject to these Terms plus any API-specific documentation, rate limits and technical requirements published on the platform. API keys are confidential to the Customer and must not be shared.
29. Future AI functionality
SKYL may introduce AI-assisted features. When enabled, AI features may generate drafts, suggestions or summaries based on workspace Content. The Customer is responsible for reviewing AI-generated output before relying on it. AI features may be enabled or disabled by the Workspace Owner.
30. Enterprise accounts
For customers requiring bespoke terms, a signed order form, custom data-processing commitments, single sign-on, dedicated support or elevated security controls, SKYL offers enterprise agreements. Contact contact@skyl.solutions to discuss.
31. Changes to these Terms
SKYL may update these Terms from time to time. Material changes are announced through the platform or by email at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
